Asset Sale Contract
An Asset sale agreement is an agreement which sets out the terms and conditions relating to the sale and purchase of assets in a company. It should be specific on what is being transferred for example equipment, stock, contracts, premises, the know-how and goodwill.
The agreement should state how the transfer of undertakings is to be done and whether the employees of the business being acquired are protected from job losses. If a seller is buying the assets of the business as a ‘going concern’, then the agreement should specify whether the employees in that business will transfer to the buyer automatically.
